A nationally recognized top lawyer for startup and emerging companies, Michael builds long-term relationships with clients that support their goals throughout their lifecycle. Michael provides strategic counseling to emerging and high-growth companies primarily in the digital health, consumer tech, social networking, software and cloud computing industries. Michael advises clients on all aspects of general corporate and securities law—from formation and corporate governance responsibilities, to equity incentives and employment issues, to IP and commercial transactions. He negotiates and structures strategic transactions, including seed and venture capital financings, mergers and acquisitions, IPOs, corporate reorganizations and debt financings. Michael also advises incubators, angel investors, venture capitalists and investment banks. He has represented VC funds in investments in companies ranging from car-sharing technology to cloud storage to social networks and healthcare. Michael is particularly active in digital health and healthcare IT, serving as an advisor to Rock Health.
Michael received his J.D. from Columbia University School of Law, where he was a member of the Columbia Business Law Review and a Harlan Fiske Stone Scholar. While in law school, Michael served as a law clerk extern in the U.S. Court of Appeals for the Ninth Circuit and in the U.S. District Court for the Southern District of New York. He received his B.A., with honors, in economics from Stanford University.
